Welcome to Trader Map. These Terms of Service ("Terms") govern your access to and use of our portfolio tracking platform, website, and services. By accessing or using Trader Map, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Acceptance of Terms

By accessing, browsing, or using Trader Map, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Trader Map ("we," "us," or "our").

If you are using our services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Description of Service

Trader Map is a software-as-a-service (SaaS) portfolio tracking platform that provides:

  • Portfolio Management: Track multiple investment portfolios with holdings, transactions, and cash management
  • Performance Analytics: Calculate time-weighted returns (TWR), money-weighted returns (MWR), and cost basis
  • Real-Time Market Data: Access stock quotes, company fundamentals, and market news
  • Watchlists: Monitor favorite stocks and track price movements
  • Historical Data: View historical price charts and performance metrics
  • Notifications: Receive alerts and updates on your portfolios

Important: Trader Map is a tracking and analytics tool only. We do not execute trades, hold assets, or provide investment advice. We are not a broker, financial advisor, or investment platform.

3. Eligibility

To use Trader Map, you must:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction
  • Have the legal capacity to enter into a binding contract
  • Not be prohibited from using our services under applicable laws
  • Provide accurate and complete registration information
  • Maintain a valid email address

By using our services, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

  • You must create an account to access certain features
  • You agree to provide accurate, current, and complete information
  • You agree to update your information to maintain its accuracy
  • One person or entity may only create one account

4.2 Account Security

  • You are responsible for maintaining the confidentiality of your password
  • You are responsible for all activities that occur under your account
  • You must immediately notify us of any unauthorized use or security breach
  • We are not liable for any loss or damage from your failure to maintain security

4.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activity.

5. Subscription and Payment Terms

5.1 Free Trial

  • New users receive a 30-day free trial with full access to all features
  • No credit card required during the trial period
  • You may cancel at any time during the trial with no charges
  • Free trial is limited to one per user/organization

5.2 Subscription Plans

We offer the following subscription plans:

  • Monthly Plan: Billed monthly at the current rate
  • Annual Plan: Billed annually with 17% savings compared to monthly

5.3 Billing and Payment

  • Subscription fees are charged in advance on a recurring basis
  • Payment is processed securely through Stripe, a third-party payment processor
  • You authorize us to charge your payment method for all applicable fees
  • All fees are non-refundable except as required by law or stated in these Terms
  • Prices are subject to change with 30 days' notice

5.4 Automatic Renewal

Your subscription automatically renews at the end of each billing cycle unless you cancel before the renewal date. You will be charged at the then-current rate.

5.5 Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of the current billing period
  • You will retain access until the end of your paid period
  • No refunds are provided for partial billing periods

5.6 Failed Payments

If payment fails, we will attempt to charge your payment method multiple times. If payment continues to fail, we may suspend or terminate your subscription and access to the platform.

5.7 Taxes

You are responsible for all applicable taxes, duties, and governmental charges. We will collect sales tax, VAT, or other taxes as required by law.

6. User Conduct and Restrictions

You agree NOT to:

  • Use the service for any illegal purpose or in violation of any laws
  • Share your account credentials or allow unauthorized access
  • Attempt to gain unauthorized access to our systems or networks
  • Reverse engineer, decompile, or disassemble our software
  • Use automated tools (bots, scrapers) to access or extract data
  • Upload malware, viruses, or malicious code
  • Interfere with or disrupt the service or servers
  • Impersonate another person or entity
  • Collect or harvest user information without consent
  • Resell or redistribute our services without authorization
  • Use the service to spam, harass, or abuse others
  • Violate any third-party intellectual property rights
  • Attempt to circumvent payment or subscription requirements
  • Use the service to provide services to third parties

Violation of these restrictions may result in immediate termination of your account and potential legal action.

7. Intellectual Property Rights

7.1 Our Rights

All rights, title, and interest in Trader Map, including all software, technology, content, trademarks, logos, and intellectual property, are owned by us or our licensors. You receive only a limited, non-exclusive, non-transferable license to use our service in accordance with these Terms.

7.2 Your Content

You retain ownership of data you input into Trader Map (portfolio holdings, transactions, notes, etc.). By using our service, you grant us a limited license to use, store, and process your data to provide our services.

7.3 Feedback

If you provide feedback, suggestions, or ideas about our service, you grant us a perpetual, worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.

7.4 Trademarks

"Trader Map" and our logos are trademarks owned by us. You may not use our trademarks without our prior written consent.

8. Disclaimers and Financial Information

IMPORTANT: NOT FINANCIAL ADVICE

Trader Map is a portfolio tracking tool ONLY. We do not provide investment advice, financial planning, tax advice, or recommendations to buy, sell, or hold any securities. All information provided is for informational and educational purposes only.

8.1 Investment Risks

Trading and investing involve substantial risk of loss. Past performance is not indicative of future results. You should consult with a licensed financial advisor before making investment decisions.

8.2 Data Accuracy

We obtain market data from third-party providers (EODHD). While we strive for accuracy, we do not guarantee that market data, prices, or information is accurate, complete, timely, or error-free. We are not responsible for errors, delays, or omissions in data.

8.3 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OPERATION.

8.4 No Guarantee of Availability

We do not guarantee that the service will be available at all times or free from errors, bugs, or security vulnerabilities. We may suspend service for maintenance, updates, or security reasons.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • THIS INCLUDES LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PAST 12 MONTHS OR $100, WHICHEVER IS GREATER
  • WE ARE NOT LIABLE FOR LOSSES RESULTING FROM INVESTMENT DECISIONS MADE USING OUR SERVICE
  • WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS, ERRORS, OR DATA
  • WE ARE NOT LIABLE FOR UNAUTHORIZED ACCESS TO YOUR ACCOUNT

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Trader Map, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including attorney fees) arising from:

  • Your use or misuse of the service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your violation of applicable laws or regulations
  • Your investment decisions or financial losses

11. Termination

11.1 Termination by You

You may terminate your account at any time through your account settings. Upon cancellation, you will retain access until the end of your current billing period.

11.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • Your payment fails or subscription expires
  • We reasonably believe there is fraudulent or illegal activity
  • Required by law or court order
  • We discontinue the service (with 30 days' notice and pro-rata refund)

11.3 Effect of Termination

Upon termination, you lose access to the service and your data. We may delete your data after 30 days, though some data may be retained as required by law or for legitimate business purposes.

12. Dispute Resolution and Arbitration

12.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@tradermap.com to attempt to resolve the dispute informally.

12.2 Binding Arbitration

Any dispute arising from these Terms or the service will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if they qualify.

12.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis only. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue the service (or any part) at any time with or without notice. We are not liable for any modification, suspension, or discontinuance.

We may update these Terms from time to time. When we make material changes:

  • We will update the "Last updated" date
  • We will notify you via email or in-app notification
  • Changes take effect 30 days after notice (or immediately for legal/security reasons)
  • Continued use after changes constitutes acceptance of the new Terms

14. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

You agree that any legal action or proceeding shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the jurisdiction of such courts.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Trader Map regarding the service.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not transfer or assign your rights under these Terms without our consent. We may freely assign these Terms without restriction.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or network failures.

15.6 Survival

Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination of these Terms.
